Welcome to HALO (Holistic Ascension Life Optimization). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Khejan, LLC, doing business as HALO ("we," "us," or "our") governing your access to and use of the HALO platform, including the application at app.halo.fit, the marketing site at halo.fit, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules applicable to specific features of the Service. If you do not agree to these Terms, you must not use the Service.

1. Definitions

  • "Account" means the user account you create to access the Service.
  • "Content" means any data, text, information, or material you submit, upload, or store through the Service.
  • "Free Tier" means the no-cost subscription plan providing access to up to three (3) modules.
  • "Paid Tiers" means the Personal, Family, and Team subscription plans providing access to all modules and additional features.
  • "Modules" means the functional areas of the Service, including but not limited to Health, Wealth, Growth, Tasks, Home, and Family.
  • "Personal Data" has the meaning given to it under the General Data Protection Regulation (EU) 2016/679 ("GDPR") and applicable data protection legislation.
  • "Service" means the HALO platform, application, website, APIs, and all related services.

2. Eligibility

2.1 Age Requirement

You must be at least sixteen (16) years of age to create an account and use the Service. By registering, you represent and warrant that you are at least 16 years old. If you are between 16 and 18 years of age (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

2.2 Account Responsibility

If you create an account on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to both you individually and the entity.

2.3 Restricted Access

We reserve the right to refuse service, terminate accounts, or restrict access to any person, for any reason, at our sole discretion, in accordance with these Terms.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You agree to update your information promptly if it changes.

3.2 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password. You agree to:

  • Choose a strong, unique password and not reuse passwords from other services.
  • Not share your account credentials with any third party.
  • Notify us immediately at legal@halo.fit if you suspect any unauthorized access to or use of your account.
  • Accept responsibility for all activities that occur under your account, whether or not authorized by you.

3.3 Account Integrity

You may not create multiple accounts to circumvent restrictions, bans, or tier limitations. Each individual may maintain only one (1) active account.

4. Description of the Service

4.1 Platform Overview

HALO is a personal life management platform designed to help users organize, track, and optimize various aspects of their lives. The Service includes the following modules:

  • Health: Hydration tracking, fitness and workout logging, mood tracking, sleep logging, pain tracking, and nutrition monitoring.
  • Wealth: Financial account management, transaction registers, budgeting, and recurring expense tracking.
  • Growth: Goal setting and tracking, habit formation and streaking, and personal development tools.
  • Tasks: Task management with multiple views (Kanban, Table, Calendar, Gantt, Timeline, Eisenhower Matrix), sub-tasks, and time tracking.
  • Home: Home maintenance scheduling and tracking.
  • Family: Family coordination and management tools.

4.2 Module Access

Access to modules is determined by your subscription tier:

  • Free Tier: Access to up to three (3) modules of your choice, at no cost.
  • Paid Tiers (Personal, Family, Team): Access to all modules and all features of the Service.

5. Subscription Plans and Payments

5.1 Free Tier

The Free Tier provides access to up to three (3) modules at no charge. The Free Tier is subject to the same Terms as paid subscriptions except where payment obligations are specified. We reserve the right to modify the features, limitations, or availability of the Free Tier at any time with reasonable notice.

5.2 Paid Tier Pricing

The following paid tiers are available:

Prices are exclusive of any applicable taxes, which will be calculated and added at checkout based on your location.

5.3 Payment Processing

All payments are processed securely through Stripe. By subscribing to a paid tier, you agree to Stripe's Terms of Service and Privacy Policy. We do not directly store your full payment card details; this information is handled by Stripe in accordance with PCI-DSS standards.

5.4 Billing Cycle

  • Monthly subscriptions are billed on the same date each month as your initial subscription date.
  • Annual subscriptions are billed on the same date each year as your initial subscription date.

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

5.5 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • Your access to paid features will continue until the end of your current billing period.
  • You will not be charged for subsequent billing periods.
  • Your account will revert to the Free Tier at the end of the paid period, and you will need to select which three (3) modules to retain.
  • Your data from all modules will be preserved and available for export, even for modules no longer accessible under the Free Tier.

5.6 Refunds

Payments are generally non-refundable. However, you may request a refund within fourteen (14) days of an initial subscription purchase or an automatic renewal if you have not materially used the paid features during that period. Refund requests should be directed to legal@halo.fit. We will assess refund requests on a case-by-case basis in good faith.

5.7 Price Changes

We may change subscription prices with at least thirty (30) days' prior written notice (via email or in-app notification). Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to the new pricing, you may cancel your subscription before the new price takes effect.

5.8 Free Trials and Promotions

We may offer free trials or promotional pricing from time to time. Trial and promotional terms will be specified at the time of the offer. Unless you cancel before the trial or promotional period ends, your subscription will automatically convert to the standard paid subscription at the then-current rate.

6. User Content and Data Ownership

6.1 Your Data, Your Ownership

You retain full ownership of all Content you submit, upload, or store through the Service. We do not claim any ownership rights over your Content. This includes but is not limited to health metrics, financial data, goals, habits, tasks, and any other information you enter into the platform.

6.2 License to Operate

By using the Service, you grant us a limited, non-exclusive, non-transferable license to process, store, and display your Content solely for the purpose of providing and improving the Service to you. This license exists only for as long as you maintain an active account and terminates upon account deletion, subject to any legally required retention periods.

6.3 Data Export

You may export your data at any time in CSV and/or ZIP format through the account settings. We are committed to data portability and will make commercially reasonable efforts to ensure exports are complete and in a usable format.

6.4 Account Deletion

You may permanently delete your account at any time through the account settings. Upon account deletion:

  • All your Personal Data and Content will be permanently deleted from our active systems within thirty (30) days.
  • Backup copies will be purged within ninety (90) days of deletion.
  • Certain anonymized, aggregated data that cannot be used to identify you may be retained for analytical purposes.
  • Data that we are legally required to retain (e.g., for tax, legal, or regulatory compliance) will be retained for the minimum period required by law and then deleted.

6.5 Data Processing

Our collection, use, and processing of your Personal Data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

7. Data Protection and Privacy (GDPR Compliance)

7.1 Data Controller

For the purposes of the GDPR and applicable data protection laws, HALO acts as the data controller for Personal Data processed through the Service.

7.2 Lawful Basis for Processing

We process your Personal Data on the following lawful bases:

  • Contract Performance (Article 6(1)(b) GDPR) — Processing necessary to provide the Service to you under these Terms.
  • Legitimate Interest (Article 6(1)(f) GDPR) — Processing necessary for our legitimate interests, such as improving the Service, preventing fraud, and ensuring security.
  • Consent (Article 6(1)(a) GDPR) — Where we rely on your consent for specific processing activities, you may withdraw your consent at any time.
  • Legal Obligation (Article 6(1)(c) GDPR) — Processing necessary to comply with a legal obligation to which we are subject.

7.3 Your Data Protection Rights

Under the GDPR and applicable data protection laws, you have the right to access, rectification, erasure, restriction, data portability, objection, and withdrawal of consent. To exercise any of these rights, please contact us at legal@halo.fit. We will respond to your request within thirty (30) days.

8. Acceptable Use Policy

8.1 Permitted Use

The Service is provided for personal, non-commercial life management purposes. You may use the Service to track and manage your personal health, finances, goals, habits, tasks, home, and family information.

8.2 Prohibited Conduct

You agree not to:

  • Use the Service in any manner that violates any applicable law or regulation.
  • Upload, transmit, or store Content that infringes upon any third party's rights.
  • Use the Service to harm, threaten, harass, or intimidate any person.
  • Upload or distribute viruses, malware, or other harmful code.
  • Attempt to circumvent any security measures of the Service.
  • Reverse engineer, decompile, or disassemble the Service.
  • Use automated means to access or collect data from the Service without consent.
  • Intentionally overload or interfere with the Service infrastructure.
  • Impersonate any person or entity.
  • Resell, sublicense, or redistribute the Service without prior written consent.
  • Create multiple accounts to exceed Free Tier limitations.

8.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who violates these rules, including removing Content, suspending or terminating accounts, and reporting conduct to law enforcement authorities.

9. Intellectual Property

9.1 HALO Ownership

The Service, including its original content (excluding user-submitted Content), features, functionality, design, source code, trademarks, service marks, logos, and trade names, is and shall remain the exclusive property of HALO and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

9.2 Limited License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes.

9.3 Feedback

If you provide us with any suggestions, feedback, or ideas regarding the Service ("Feedback"), you acknowledge that such Feedback is non-confidential and you grant us a worldwide, royalty-free, irrevocable, perpetual license to use, modify, and incorporate such Feedback into the Service without any obligation to you.

10. Disclaimers

10.1 Service Provided "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 No Professional Advice

HALO IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE. Specifically:

  • Not Medical Advice: The health tracking features are for personal informational purposes only. Always consult a qualified healthcare professional for medical concerns.
  • Not Financial Advice: The wealth management features are for personal organizational purposes only. Always consult a qualified financial professional for financial decisions.
  • Not Professional Advice of Any Kind: No feature of the Service should be construed as professional advice in any field.

10.3 No Guarantee of Results

We do not guarantee that using the Service will lead to any particular outcome, improvement, or result in any area of your life.

11. Limitation of Liability

11.1 Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HALO, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

11.2 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

11.3 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless HALO, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, your violation of any third-party right, or your Content.

This indemnification obligation will survive the termination of your account and these Terms.

13. Termination

13.1 Termination by You

You may terminate your account and these Terms at any time by deleting your account through the account settings.

13.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms, requests by law enforcement, discontinuation of the Service, extended inactivity (with at least ninety (90) days' notice), or engagement in fraudulent or illegal activities.

13.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will delete your Personal Data in accordance with our Privacy Policy. You may request a data export before termination.

14. Dispute Resolution

14.1 Good Faith Negotiation

In the event of any dispute, you and HALO agree to first attempt to resolve the dispute through good faith negotiation for a period of at least thirty (30) days. Notices should be sent to legal@halo.fit.

14.2 Mediation

If the dispute cannot be resolved through negotiation, either party may propose non-binding mediation. The costs of mediation shall be shared equally between the parties.

14.3 Litigation

If the dispute is not resolved through negotiation or mediation, either party may pursue resolution through the courts as described in Section 15.

15. Governing Law and Jurisdiction

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States of America, without regard to its conflict of law provisions. If you are a consumer residing in the European Union or the United Kingdom, you shall also retain the protection of any mandatory provisions of the consumer protection laws of your country of residence.

15.2 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the Commonwealth of Pennsylvania. If you are a consumer residing in the European Union or the United Kingdom, you may also bring proceedings in the courts of your country of residence.

15.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HALO AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THIS WAIVER DOES NOT APPLY WHERE PROHIBITED BY LAW, INCLUDING FOR CONSUMERS IN THE EUROPEAN UNION.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date at the top of these Terms.
  • Provide notice via email and/or through a prominent in-app notification at least thirty (30) days before the changes take effect.
  • Where required by law, obtain your consent to the updated Terms.

Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of the changes.

17. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and HALO regarding the Service.
  • Severability: If any provision is held invalid, it shall be modified to the minimum extent necessary or severed. The remaining provisions continue in full force.
  • Waiver: No waiver of any provision shall be deemed a continuing waiver.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign without restriction.
  • Force Majeure: We shall not be liable for failure or delay due to circumstances beyond our reasonable control.
  • Notices: All notices to HALO should be sent to legal@halo.fit.
